海南省总部企业认定管理办法

　　Measures for the Administration of the Verification of Enterprise Headquarters in Hainan Province

第一条 为贯彻落实《海南省人民政府办公厅关于促进总部经济发展的工作意见》精神，加快发展总部经济，规范海南省总部企业认定和管理工作，结合我省实际，制定本办法。

Article 1 The Measures have been formulated in accordance with the current situation in Hainan Province in order to carry out the spirit of The Working Opinions of the General Office of People’s Government of Hainan on Promoting the Development of the Headquarters Economy, to accelerate the development of the headquarters economy, and to standardize the verification and management of the enterprise headquarters in Hainan.

第二条 海南省促进总部经济发展联席会议(以下简称联席会议)负责指导、管理和监督总部企业的认定和管理工作，对认定中的重大事项进行决策。海南省促进总部经济发展联席会议办公室(以下简称联席办)设在省商务厅，承担总部企业认定备案等日常工作。

Article 2 The Hainan Joint Conference on Promoting the Development of the Headquarters Economy (hereinafter referred to as the Joint Conference) will be responsible for the guidance, management and supervision of the verification and management of the enterprise headquarters, as well as the decision-making on major issues in the process of verification. The Office of the Hainan Joint Conference on Promoting the Development of the Headquarters Economy (hereinafter referred to as the Office of Joint Conference) in the Hainan Provincial Department of Commerce undertakes routine tasks such as filing the materials of the verification of the enterprise headquarters.

第三条 本办法所称总部企业包括新落户总部企业和现有总部企业。新落户总部企业是指2018年1月1日(含)以后在我省设立的总部企业。现有总部企业是指2018年1月1日以前在我省设立且存续至今的总部企业。

Article 3 The enterprise headquarters referred to in The Measures include newly established enterprise headquarters and the existing ones. The newly settled enterprise headquarters are those established in Hainan as of Jan.1, 2018, while the existing enterprise headquarters are the ones established in Hainan before Jan. 1, 2018 which are still in operations.    

第四条 认定条件标准

Article 4 Requirements and Criteria for Verification

(一)申请认定跨国公司地区总部，须满足下列条件:

I. To apply for verification of regional headquarters, transnational corporations should satisfy all the following conditions:  

1.由境外注册的母公司在我省设立，以投资或授权形式对在中国境内一个以上省级区域内的企业履行管理和服务职能的唯一总机构;

1. The sole headquarters established in Hainan Province by a parent enterprise registered outside China to perform the functions of management and service for enterprises in more than one provincial, autonomous and special administrative region or municipality in China through investment and authorization.

2.具有独立法人资格的外商投资企业;

2. Foreign-invested enterprises with independent legal personalities.

3.注册资本不低于200万美元;

3. No less than USD 2 million in registered capital.

4.母公司的资产总额不低于4亿美元;服务业领域企业设立地区总部的，母公司资产总额不低于3亿美元;

4. The parent enterprises’ general assets should be no less than USD 400 million, or USD 300 million for enterprises in the service sector with local headquarters.

5.母公司在中国境内投资累计缴付的注册资本总额不低于1000万美元，且母公司授权管理的中国境内外企业不少于3个;或者母公司授权管理的中国境内外企业不少于6个。

5. Total registered capital invested by their parent enterprises in China should be no less than USD10 million and the number of enterprises in China and abroad authorized by their parent enterprises to manage should be no less than 3; or the number of enterprises in China and abroad authorized by their parent enterprises to manage exceeding 6.

(二)申请认定综合型(区域型)总部，须满足下列条件：

II. To apply for the verification of integrated (regional) headquarters, the following conditions must be satisfied:

1.在我省设立，具有独立法人资格;

1. Enterprises registered in Hainan with independent legal personalities.

2.产业标准：

2. Industrial standards:

　　热带特色高效农业等第一产业：申请前一年或申请当年的营业收入不低于5亿元，且形成地方财力贡献不低于1000万元。

Primary industries like tropical agriculture with high efficiency: operating revenue of no less than RMB 500 million in the year prior to application or the year of application and contributing no less than RMB10 million to local financial resources.

高新技术产业等第二产业：申请前一年或申请当年的营业收入不低于15亿元，且形成地方财力贡献不低于3000万元。

Secondary industries like the high-tech industry: operating revenue of no less than RMB1.5 billion in the year prior to application or the year of application and contributing no less than RMB30 million to local financial resources.

旅游业、现代服务业等第三产业：申请前一年或申请当年的营业收入不低于10亿元(人民币，下同)，且形成地方财力贡献不低于2000万元。

Tertiary industries such as tourism, modern service industry, etc.: operating revenue of no less than RMB 1 billion in the previous year or the year of the application and contributing no less than RMB20 million to local financial resources.

3.以投资或授权形式对中国境内一个以上省级区域内的企业行使管理和服务职能的唯一总机构;或者，具有全国性或区域性采购、销售、物流、配送、结算、管理、研发等一项或多项总部职能的机构。

3. The sole headquarters to perform the functions of management and service for enterprises in more than one provincial region in China through investment and authorization; or headquarters with one function or multiple functions such as procurement, sales, logistics, delivery, settlement and management, as well as research and development on the national or regional level.

(三)申请认定高成长型总部，须满足下列条件:

Ⅲ. The following conditions must be satisfied in the application for a fast-developing headquarters:

1.在我省设立，具有独立法人资格;

1. The enterprise headquarters must be established in Hainan province and should possess independent legal entities.

2.申请前一年或申请当年的地方财力贡献不低于800万元;

2. The enterprise headquarters should contribute no less than RMB 8 million to local financial resources in the year prior to application or the year of application.

3.在所从事业务领域拥有核心技术知识产权(企业自主研发或授权均可)，申请前一年用于企业研发经费不低于当年营业收入的5%;或者具有全新的商业模式，有良好的业绩表现，具有可持续发展能力，已至少获得PE公司C轮投资;或者提供审计、会计、人力资源、检验检测、认证等专业社会服务，有利于推进我省法治化、国际化、便利化营商环境建设，在国际国内有较高知名度;

3. In possession of the intellectual property rights of the businesses’ core technology (either developed by the enterprise or authorized), R&D investment one year before application no lower than 5% of the operating revenue of the same year; or having brand-new business patterns, good performance, sustainable development, at least having been invested by Public Equity in Series C financing; or offering specialized social service like auditing, accounting, human resources, inspection and detection, authentication, etc., promoting the establishment of a legalized, international and convenient business environment in Hainan Province, enjoying a high profile worldwide.

4.企业属于或投资方属于世界企业500强、中国企业500强、中央大型企业、中国民营企业500强，在认定时可获得优先考虑。世界企业500强以《财富》杂志上一年度排名为参考;中国企业500强以中国企业联合会、中国企业家协会排名为准;中央大型企业为纳入国务院国资委管理的企业;中国民营企业500强以全国工商联排名为准。

4. Priority can be given to the companies or the investors that belong to the top 500 companies in the world, the top 500 Chinese companies, large central enterprises, and the top 500 Chinese private enterprises in verification. The top 500 companies in the world are referenced to Fortune magazine's ranking for the previous year; the Top 500 Chinese companies are referenced to the China Enterprise Confederation and China Enterprise Directors Association. Central large-scale enterprises are those included in the management of the State-owned Assets Supervision and Administration Commission of the State Council; the top 500 Chinese private enterprises are based on the All-China Federation of Industry and Commerce.

(四)申请认定国际组织(机构)地区总部，须满足下列条件:由知名国际组织(机构)在我省设立的外国非企业经济组织代表机构，以授权形式在中国或更大区域内履行管理和服务职能的唯一总机构，且首席代表常驻海南。

IV. To apply for the verification, the regional headquarters of international organizations (institutions) must satisfy the following conditions: the representative office of any foreign non-enterprise economic organization established in Hainan Province by a well-known international organization (institution) shall perform management and service functions authorized in China or a larger region, and its Chief Representative shall reside in Hainan.

　　对基本符合前述条件，并为我省经济社会发展做出突出贡献的上述四种类型总部，可酌情考虑认定。

The above four types of headquarters, which basically meet the above-mentioned conditions and have made outstanding contributions to the economic and social development of Hainan Province, may be verified according to actual circumstances.

　　自本办法出台后，对在本省范围内重新变更注册地的总部企业，不纳入省财政对市县的总部经济奖补范围;省财政按照“前三年100%、后两年50%”标准，将总部企业地方财力贡献的市县财政留成部分从迁入市县拨付迁出市县。对房地产开发企业，不纳入总部企业认定范围。

Enterprise headquarters within Hainan Province that have changed their locations of registration since The Measures have come into existence shall not be included in the scope of provincial fiscal award and subsidy for headquarters in cities and counties. The provincial Department of Finance shall transfer the portion of local city or county finance contributed by enterprise headquarters from the city and county where enterprise headquarters move into the cities and counties where they move out. The real-estate enterprises shall not be included in the scope of verification of enterprise headquarters.

第五条 认定申请材料

Article 5 Application Materials for Verification

申请总部企业资格认定的企业，应当提交下列材料：

Enterprises applying for the qualification verification of enterprise headquarters shall submit the following materials:

(一)公司法定代表人签署的申请书(含申请企业基本情况介绍，原件);

I. An application signed by the legal representative of the enterprise (including an introduction to basic information on the applicant enterprise, on the original form).

(二)海南省总部企业认定申请表(原件);

II. The application form for the verification of the enterprise headquarters in Hainan Province (original form).

(三)按照各类型总部企业认定申请材料明细表(详见附表)提交的详细材料。

III. Detailed materials submitted in accordance with the listed application materials (for details, see attached Table) of each type of enterprise headquarters.

第六条 认定工作程序

Article 6 Procedures for Verification

总部企业认定工作按下列程序进行：

The verification of enterprise headquarters shall be carried out in accordance with the following procedures:

(一)申请。申请企业按本办法第五条要求准备申请材料(一式三份、附电子版光盘)，向注册地市(县)政府总部经济主管部门提交申请材料。

I. Application. The applicant enterprise shall prepare the application materials (in triplicate, attached with electronic CD) according to the requirements of Article 5 of The Measures, and submit the application materials to the Department of Headquarters Economy of the registration city or county government.

(二)认定。市(县)政府总部经济主管部门做出审核意见后，报市(县)政府实施认定。

II. Verification. After the Department of Headquarters Economy of the municipal (county) government presents audit comments, the enterprise headquarters shall be reported to the municipal or county government for implementing verification.

(三)备案。市(县)政府将认定意见和企业申请材料报联席办备案。联席办在10个工作日内完成备案并颁发海南省总部企业认定文件，对不符合条件的备案给予书面答复并说明理由。III. Filing of records. The municipal (county) government shall submit the verification opinions and application materials of enterprises to the Joint Office for the record. The Joint Office shall complete the filing within 10 working days and issue the verification documents of the Hainan Provincial Headquarters or give written replies on records that do not meet the conditions and explain the reasons.

第七条 经认定的总部企业，持相关认定文件向注册地市(县)政府办理享受总部企业扶持政策，到省政府政务服务中心向省有关职能部门办理便利化服务事宜。

Article 7 The recognized enterprise headquarters shall, with the relevant verification documents, apply to the municipal (county) government of the registered place to enjoy the support policies of the enterprise headquarters, and shall go to the relevant functional departments of provincial government service center to handle facilitation services.

第八条 市(县)政府总部经济主管部门每年对已认定的总部企业进行复核，并将有关复核情况报联席办备案。

Article 8 The Department of Headquarters Economy of the municipal (county) government shall review the verified enterprise headquarters annually and report the relevant review status to the Joint Office for the record.

第九条 总部企业有下列行为之一的，取消其总部企业资格，终止享受相关优惠政策：

Article 9 The qualifications of headquarters will be canceled, and the relevant preferential policies will be terminated if the enterprise headquarters meet any of these conditions:

　(一)按照本办法第八条规定实施复核，复核不合格的;

I. The enterprise fails the review in accordance with the provision of Article 8;

(二)企业隐瞒真实情况或提供虚假材料获得资格认定的;

II. The enterprise conceals the true situation or provides falsified materials to obtain verification.

(三)其他违反国家法律、法规且情节严重的。

III. Other serious violations of national laws and regulations.

第十条 企业隐瞒真实情况或提供虚假材料获得资格认定和奖补的，除按照第九条规定取消总部企业资格和终止享受优惠政策外，责令其退回奖补所得，将其列入省企业信用信息共享平台“黑名单”，并依法向社会公开;涉嫌犯罪的，依法移送司法机关处理。

Article 10 If an enterprise conceals the real situation or provides falsified materials to obtain verification, incentives and subsidies, it shall be ordered to return the incentives and income received, in addition to canceling the qualifications of the headquarters and terminating its preferential policies in accordance with the provision of Article 9. The enterprise will be listed in the “blacklist” of the provincial enterprise credit information-sharing platform and will be released to the public according to the law. Those involved in suspected crimes will be subject to the judicial authorities according to the law.

第十一条 市(县)政府是促进总部经济发展工作的实施主体，负责制定本市(县)总部企业认定具体操作办法，履行总部企业认定、复查、事中事后监管等职责。市(县)政府按照第九条、第十条规定对相关违规行为做出处理意见后，报联席办备案。

Article 11 The municipal (county) government is responsible for promoting headquarters economy, and for the formulation of specific operational procedures for the verification of the enterprise headquarters and for fulfilling the responsibilities of the enterprise headquarters for verification, review, and on site and post-event supervision. After handling the relevant violations in accordance with the provisions of Articles 9 and 10, the municipal (county) government shall report to the Joint Office for the record.

第十二条 本办法具体问题由联席办负责解释。

Article 12 The specific issues of The Measures shall be interpreted by the Joint Office.

第十三条 本办法自颁发之日起施行。

Article 13 The Measures shall come into force on the date of promulgation.

三亚市促进总部经济发展暂行办法

第一章  总则

第一条为全面贯彻落实《中共中央国务院关于支持海南全面深化改革开放的指导意见》（中发〔2018〕12号）和《海南省人民政府办公厅关于促进总部经济发展的工作意见》（琼府办〔2018〕37号），加快推进自由贸易区（港）建设，加快三亚经济结构转型升级和构建现代化经济体系，鼓励内外资企业和国际组织（机构）在三亚设立总部，加强各类总部聚集，促进总部经济发展，现结合三亚实际，制定本办法。

Interim Measures for Promoting the Development of Headquarters Economy in Sanya

Chapter One: General Provisions

Article 1 The Measures are formulated in light of Sanya’s current conditions to fully implement Guiding Opinions of the CPC Central Committee and the State Council on Supporting Hainan in Comprehensively Deepening Reform and Opening Up (No. 12 [2018], State Council) and Opinions of the General Office of the People’s Government of Hainan Province on Promoting the Development of Headquarters Economy (No. 37 [2018] of the General Office of the People’s Government of Hainan Province);to speed up the construction of Free Trade Zone (Port);to accelerate the pace of transforming Sanya’s economic structure and develop a modernized economy; to encourage foreign and domestic-funded enterprises and international organizations (institutions) to establish headquarters in Sanya; to increase the concentration of headquarters, and to promote the development of headquarters economy.

第二条本办法所称总部企业包括新落户总部企业和现有总部企业。新落户总部是指2018年1月1日（含）以后在三亚市设立或迁入三亚市的跨国公司地区总部、综合型（区域型）总部、高成长型总部、国际组织（机构）地区总部。现有总部是指2018年1月1日以前在三亚市范围内设立且存续至今的跨国公司地区总部、综合型（区域型）总部、高成长型总部、国际组织（机构）地区总部。

Article 2 The enterprise headquarters mentioned in The Measures include newly registered enterprise headquarters and the existing ones. Newly registered enterprise headquarters refer to regional headquarters of transnational companies, headquarters of regionally comprehensive enterprises, headquarters of high-growth companies, and regional headquarters of international organizations established or relocated in Sanya on or after Jan. 1, 2008. Existing headquarters are the established and unexpired regional headquarters of transnational companies, headquarters of regionally comprehensive companies, and headquarters of high-growth companies and regional headquarters of international organizations in Sanya before Jan.1, 2008.

第三条本办法适用于在三亚市范围内设立，工商注册和税务登记地在三亚市并取得海南省促进总部经济发展联席会议依据《海南省总部企业认定管理办法》颁发认定证书的总部企业。自《海南省总部企业认定管理办法》出台后，海南省内总部企业重新变更注册地在三亚市的，不纳入本办法扶持对象，不享受本扶持政策。

Article 3 The Measures are applicable to enterprise headquarters that are established in Sanya City and registered with the Sanya Administration for Industry and Commerce and the Sanya Administration of Taxation, with the certificates issued by the Joint Conference of Promoting the Development of Headquarters Economy in Hainan Province according to Measures for the Administration of the Verification of Enterprise headquarters in Hainan Province. Those who move their registration locations to Sanya City after the issuance of Measures for the Administration of the Verification of Enterprise headquarters in Hainan Province do not enjoy the support policies.

第二章政策支持条款

Chapter Two: Policy Support

第四条开办补助经初次认定的新落户跨国公司地区总部、综合型（区域型）总部、高成长型总部实际到位注册资本在5000万元以内的部分，按1%给予补助；超过5000万元至2亿元的部分，按2%给予补助；超过2亿元的部分，按3%给予补助，总部企业落户开办补助资金累计最高不超过2000万元。经初次认定的新落户国际组织（机构）地区总部给予补助200万元。开办补助分五年支付，每年支付20%。

Article 4 Start-up Subsidy

Once verified, newly established regional headquarters of transnational companies, headquarters of regionally comprehensive enterprises, and headquarters of high-growth companies with actual registered capital of less than RMB50 million will be subsidized at 1% of their total registered capital; those with RMB50 million to RMB200 million will be subsidized at 2%; and those exceeding RMB200 million will be subsidized at 3%. The total amount of start-up subsidy of the enterprise headquarters will be no more than RMB20 million. Newly registered international organizations (institutions), once verified, will be subsidized with RMB2 million. The start-up subsidy will be paid 20% each year for five years.

第五条经营贡献奖励

Article 5 Incentives for Management Contributions

（一）基础贡献奖励

经初次认定的新落户总部企业，自认定当年起5年内按照每年对三亚地方财力贡献（不含个人所得税及与房地产相关的财力贡献，下同）给予奖励支持，前3年按70%给予奖励支持，后2年按40%给予奖励。

I. Incentives for Basic Contribution

Enterprises that newly settle their headquarters in Sanya, subject to verification at the first stage, will be awarded incentives according to their contributions to the financial resources of Sanya within the first five years of the year of registration; incentives cover 70% of the amount of their contributions in the first three years and 40% in the last two years.

经初次认定的现有总部企业，自认定当年起5年内按照每年对三亚地方财力贡献的环比增量部分给予60%奖励支持。

For enterprises that have already headquartered in Sanya from the year of settlement, funds will be granted at 60% of year-on-year increment of their financial contributions to Sanya within five years.

（二）上台阶贡献奖励

对认定为旅游业、现代服务业等第三产业的经初次认定的总部企业，享受本扶持政策期间，每年实际对三亚地方财力贡献2000万元—4000万元，在享受基础贡献奖励基础上，奖励标准提高3个百分点；每年实际对三亚地方财力贡献4000万元—8000万元，在享受基础贡献奖励基础上，奖励标准提高5个百分点；每年实际对三亚地方财力贡献8000万元以上，在享受基础贡献奖励基础上，奖励标准提高8个百分点。

II．Incentives for Contribution of Higher Levels

When the preferential policy is implemented to enterprise headquarters already verified as tertiary industries, such as tourism and the modern service sector, the incentives will increase by 3% based on the basic contribution incentives if their annual and actual contributions to the fiscal capability of Sanya are between RMB20 million to RMB40 million; the incentives will increase by 5% based on the basic contribution incentives if their annual and actual contributions to the fiscal capability of Sanya are betweenRMB40 million to RMB80 million; and the incentives will increase by 8% based on the basic contribution incentives if their annual and actual contributions to the fiscal capability of Sanya are more than RMB80 million.

对认定为高新技术产业等第二产业的经初次认定的总部企业，享受本扶持政策期间，每年实际对三亚地方财力贡献3000万元—5000万元，在享受基础贡献奖励基础上，奖励标准提高3个百分点；每年实际对三亚地方财力贡献5000万元—10000万元，在享受基础贡献奖励基础上，奖励标准提高5个百分点；每年实际对三亚地方财力贡献10000万元以上，在享受基础贡献奖励基础上，奖励标准提高8个百分点。

When the preferential policy is implemented, the incentives to enterprise headquarters first verified as secondary industries, such as new high-tech ones, will increase by 3% based on the basic contribution incentives if their annual and actual contributions to the fiscal capability of Sanya are betweenRMB30 million to RMB50 million. The incentives will increase by 5% based on the basic contribution incentives if their annual and actual contributions to the fiscal capability of Sanya are betweenRMB50 million to RMB100 million. It will increase by 8% based on the basic contribution award if their annual and actual contributions to the fiscal capability of Sanya are more than RMB100 million.

对认定为热带特色高效农业等第一产业的经初次认定的总部企业，享受本扶持政策期间，每年实际对三亚地方财力贡献1000万元—3000万元，在享受基础贡献奖励基础上，奖励标准提高3个百分点；每年实际对三亚地方财力贡献3000万元—5000万元，在享受基础贡献奖励基础上，奖励标准提高5个百分点；每年实际对三亚地方财力贡献5000万元以上，在享受基础贡献奖励基础上，奖励标准提高8个百分点。

When the preferential policy is implemented, the incentives to the enterprise headquarters first verified as primary industry, such as tropical agriculture with high efficiency, will increase by 3% based on the basic contribution incentives if its annual and actual contributions to the fiscal capability of Sanya are betweenRMB10 to RMB30 million; the incentives will increase by 5% based on the basic contribution incentives if its annual and actual contributions to the fiscal capability of Sanya are betweenRMB30 to RMB50 million; and the incentives will increase by 8% based on the basic contribution incentives if its annual and actual contributions to the fiscal capability of Sanya are more than RMB50 million.

（三）增量贡献奖励

经初次认定的总部企业自认定当年起5年内连续2年经营形成的对三亚地方财力贡献呈增长且比上年度增长率不低于30%，给予企业对三亚地方财力贡献增量的30%奖励，增量奖励每年最高不超过2000万元。

III．Incentives for the Excess Part of the Contribution to the Financial Capability

Newly verified headquarters will be rewarded 30% of the excess if they have a better growth rate for the financial capability of Sanya for two consecutive years within five years of the year of verification. In addition, compared to the previous year, the growth rate must be no less than 30%. The highest incentive is RMB20 million annually.

第六条管理人员奖励对经初次认定的总部企业的高管、认定为三亚市高层次人才的总部企业人员在前5年中每年根据其对三亚地方财力贡献给予奖励，前3年按60%给予奖励，后2年按40%给予奖励。

Article 6 Incentives for Managing Staff

For senior executives of headquarters verified initially and staff members verified as high-level talents, the amount of the annual incentive will be based on the contributions they have made to the financial capability of Sanya in the first five years. They will be awarded 60% of the excess in the first three years and 40% in the last two years.

总部企业享受三亚市相关人才服务政策，包括高层次人才落户、医疗、子女教育、人事档案管理、职称评定、社会保障等。

Headquarters enjoy relevant talent service policies including policies of applying for permanent residency for high-level talents, medical services, preferential policies regarding to children’s education, personnel file management, professional-title evaluation and social security.

第七条办公用房租房补贴在三亚市无自有产权办公用房的，经初次认定的总部企业租用商务写字楼用于自用办公用房的，自获得认定资格之日起根据办公用房租赁合同金额（若实际租赁价格高于房屋租金市场指导价的，则按市场指导价计算租房补贴）给予租金补贴不超过5年，前3年补贴年度租金的50%，后2年补贴年度租金的30%，每年补贴金额最高不超过120万元。

Article 7 Allowances for Office Rent

When renting office space for their own use, the enterprise headquarters that are first verified and do not own their offices may receive rent allowances for no more than five years according to the amount of the lease contract from the date of obtaining the qualification. (If the actual rent is higher than the office rental market rate, rent allowances will be calculated based on the guiding market price.) The enterprise headquarters will be subsidized with 50% of the annual rent in the first three years and 30% of the annual rent in the next two years. Maximum annual subsidies shall not exceed RMB1.2 million.

第八条购房补贴在三亚市无自有产权办公用房的，经初次认定的总部企业自获得认定资格之日起5年内购置总部自用办公用房的，按照购房合同金额（若实际购买价格高于市场指导价的，则按市场指导价计算购房补贴）的8%给予补贴，在其取得房屋产权证后分五年支付，每年支付20%，累计补贴金额最高不超过2000万元。

Article 8 Housing Purchase Subsidy

Enterprise headquarters without self-owned office buildings in Sanya that purchase self-used office buildings within five years of the date of acquiring their first verification will be given an 8% housing purchase subsidy based on the price of house purchasing contract. (If the actual purchase price is higher than the guiding market price, the housing purchase subsidy will be based on the guiding market price.) After the enterprise headquarters obtain their house property ownership certificates, housing purchase subsidies will be paid in five years, 20% per year, and the accumulated subsidy shall not exceed RMB20 million.

购房补贴、办公用房租房补贴可以同时申请，但获得的累计办公用房补贴资金不超过最高一项补贴。享受补贴期间，自用办公用房不得对外出售、出租或改变用途，因特殊原因必须对外出售、出租或改变用途，总部企业已领取的办公用房补贴资金应予退还。

Housing purchase subsidy and rent subsidy for office buildings may be applied simultaneously, but the accumulated subsidy received by the enterprises for office buildings shall not exceed the highest single subsidy. During the subsidy period, the self-used office buildings may not be sold, rented or used for other purposes. If the self-used office buildings must, for special reasons, be sold, rented or used for other purposes, the subsidies for office buildings received by the enterprise headquarters shall be refunded.

第九条培育企业发展奖励对经认定的总部企业首次被评为世界企业500强的，给予一次性2000万元奖励，首次被评为中国企业500强的，给予一次性500万元奖励，首次被评为中国民营企业500强的，给予一次性200万元奖励。

Article 9 Incentives for the Development of Enterprises

The verified enterprise headquarters may be awarded RMB20 million when they are ranked in the Fortune 500 Companies for the first time; RMB5 million when they are rated as China’s Top 500 Companies for the first time; with RMB2 million when they enter China’s Top 500 private enterprises for the first time.

第十条集聚区奖励对形成总部经济集聚的园区运营管理机构，根据园区内企业形成的三亚地方财力贡献予以一定比例奖励。

Article 10 Incentives for Agglomeration

The government will reward business management organizations forming an agglomeration zone of headquarters economy according to their contributions to local financial resources.

第十一条绿色服务在市政务中心设立总部企业绿色服务窗口，经认定的总部企业需要办理行政审批手续的，凭认定文件可享受全程代办和优先服务。

Article 11 Convenient Service

The government affairs service center of Sanya has established the convenient service window for enterprise headquarters. If verified enterprise headquarters need to go through the administrative examination and approval procedures, with verification documents，they will be given priorities and the center staff will have their procedures done for them.

第十二条特别支持对新重点引进对三亚市经济社会发展具有重大带动作用的企业，可按“一事一议”给予政策支持。

Article 12 Special Support

Policy support based on “One Discussion over Each Case” will be given to new key enterprises with a significant role in promoting economic and social development in Sanya.

第三章组织实施

Chapter Three: Organization and Implementation

第十三条建立三亚市促进总部经济发展联席会议（以下简称“联席会”）制度，统筹全市总部经济发展工作，负责研究解决工作推进中的重大问题和重大事项。联席会办公室（以下简称“市联席办”）设在市商务会展局，承担联席会议日常工作。

Article 13 The system of the Joint Conference on Promoting the Development of Headquarters Economy (Joint Conference) is to be established in Sanya to coordinate the development of headquarters economy and to research and deal with the major issues in implementation. Established in the Sanya Bureau of Commerce and Exhibition, the Joint Office is to undertake the daily works of Joint Conference.

第十四条总部企业政策兑现流程：奖补资金每年申报和审核拨付一次。市联席办每年负责组织政策兑现工作，经认定的总部，需准备下列材料：

Article14 The implementation procedures of enterprise headquarters policies are as follows. Subsidies and incentives declared by enterprise headquarters are to be checked, approved and allocated once a year. The Joint Office is responsible for implementing the policies annually. Headquarters that are verified need to prepare the following documents:

1.总部企业认定申请表；

1. Application form for verification of enterprise headquarters.

2.公司营业执照、纳税证明材料、法定代表人身份证、股东信息证明、验资报告；

2. Business license, certificate of tax payment, identity card of enterprise’s legal representative, identity certificates of shareholders and capital verification report.

3.总部承诺提供全部材料真实性及违反承诺应承担的法律责任的承诺函；

3. Commitment letter provided by the headquarters to guarantee the authenticity of all the documents and the legal liability for breach of commitment.

4.省联席办颁发的总部认定证书；

4. Certificate of headquarters verification issued by the Joint Office.

5.申请扶持种类、额度及相关证明材料；

5. The type and amount of support funds for which the enterprise headquartersare applying, and the relevant certificates.

6.主要股东或申请企业经审计的上年度财务报告；

6. The previous year’s financial reports of major shareholders or enterprises for application after audit.

以上材料一式三份，附电子版光盘，报送市联席办。由市联席办作出审核意见上报联席会议审议，审议通过后由市联席办负责组织实施。

The above materials should be submitted in triplicate to the municipal Joint Office together with a CD-ROM. The municipal Joint Office will submit its examination opinion to the Joint Conference for deliberation and will organize implementation if the deliberation is approved.

第十五条企业隐瞒真实情况或提供虚假材料获得资格认定和奖补的，除按照规定取消总部企业资格和终止享受优惠政策外，责令其退回奖补所得，将其列入市信用信息共享平台“黑名单”。

Article 15 Enterprises that conceal their real conditions or provide false materials to acquire qualification verification, incentives and subsidies are ordered to return the incentives and subsidies they have acquired and are blacklisted on the municipal credit and information-sharing platform. Their qualification as enterprise headquarters will be canceled and the preferential policies they enjoy terminated according to the regulations.

第十六条享受本办法支持政策的总部企业须书面承诺自享受三亚市总部企业奖补资金之日起，10年内工商注册地和税务登记地不迁离三亚市，如搬离或更改的，应全额退还已按本办法享受到的奖补资金。

Article 16 Enterprise headquarters that enjoy benefits of the supporting policies in The Measures must make a written commitment not to move their industrial and commercial registration locations and taxation registration locations out of Sanya City within 10 years from the day they receive incentives and subsidies from Sanya City’s funds for enterprise headquarters. If they move out or change their registration locations, they must refund all the incentives and subsidies they have received according to The Measures.

第十七条本办法与三亚市其他同类型优惠支持政策，总部企业可按就高原则申请享受，但不得重复享受。本办法的扶持政策每个总部企业最多享受5年。

Article 17If the enterprise headquarters verified apply for other preferential policies of the same kind of The Measures in Sanya city, according to relevant regulations, only one can be received. Each enterprise headquarter is allowed to enjoy the support policy in The Measures for a maximum of five years.

十八条总部企业（国际组织（机构）地区总部除外）年度获得的市财政奖补资金总额，最高不超过总部企业当年对三亚地方财力贡献和对省级财力贡献省级奖励三亚部分的总额，超过部分可结转到享受政策年度期间内再相应予以拨付。

Article 18 The total sum of annual incentives and subsidies from the city’s budget received by enterprise headquarters (except the regional headquarters of international organization or agency) shall not exceed the total contribution made by enterprise headquarters to the fiscal capability of Sanya and Sanya’s part of provincial incentives for the contribution made by enterprise headquarters to Hainan Province. The surplus shall be appropriated accordingly during the annual period of the policy.

第四章附则

Chapter Four: Supplementary Provisions

第十九条本办法中所称“以内”“不超过”“不低于”均含本数，数值区间中的前一个不含本数、后一个含本数。

Article 19 Terms mentioned in The Measures as “within,” “no more than” and “not less than” all include the number itself. The previous number of the numerical intervals does not include itself, but the latter number includes itself.

第二十条本办法由市商务会展局负责解释。

Article20The Sanya Bureau of Commerce and Exhibition is in charge of the interpretation hereof.

第二十一条《三亚市培育促进总部经济发展暂行规定》（三府〔2011〕131号）和《三亚市促进海棠湾总部经济和现代服务业发展优惠政策暂行办法》（三府〔2013〕140号）自本办法施行之日起废止。

Article21 Interim Measures on Cultivation and Promotion of the Headquarters

Economy of Sanya (Sanya Government〔2011〕No.131) and Interim Measures on

Preferential Policy for Promoting the Development of Headquarters Economy in

Haitang Bay and Modern Service Industry (Sanya Government〔2013〕No.140) shall

cease to be in force on the date of the implementation hereof.

第二十二条本办法自颁发之日起施行。

Article 22 The Measures shall come into force on the date of promulgation.
